This filing relates to the proposed transaction between Revolution Medicines, Inc. a Delaware corporation (Revolution Medicines), and EQRx, Inc., a Delaware corporation (EQRx), pursuant to the terms of that certain Agreement and Plan of Merger, dated as of July 31, 2023 (the Merger Agreement), by and among Revolution Medicines, EQRx, Equinox Merger Sub I, Inc., a Delaware corporation and a wholly owned subsidiary of Revolution Medicines (Merger Sub I), and Equinox Merger Sub II LLC, a Delaware limited liability company and a wholly owned subsidiary of Revolution Medicines (Merger Sub II and, together with Merger Sub I, the Merger Subs and each a Merger Sub).

As we pursue our vision to discover, develop and deliver new, high-impact targeted oncology medicines, we continue gaining confidence in our RAS(ON) Inhibitor drug candidate pipeline and are excited to communicate further progress on these compounds in the coming months. This morning, we announced we are taking a major step toward ensuring we have the financial strength to continue our development and pre-commercial planning efforts for the first wave of our RAS(ON) Inhibitor assets through an agreement whereby Revolution Medicines will gain more than $1 billion in additional capital through the acquisition of EQRx in an all-stock transaction.
We expect the transaction to close in November 2023, subject to the satisfaction of customary closing conditions. We project that following completion of this transaction, we will have sufficient operating capital to confidently commit to investments in late-stage activities and capabilities at the scale needed to support studies that will establish the greatest potential clinical benefit for our highly innovative drug candidates. This is extremely exciting as it will allow us to operate full throttle on our current plan with very strong cash runway while retaining strategic control of our RAS(ON) Inhibitor pipeline.
